NCB Continues Plan to Raise an Additional VND 33 Trillion in Capital, Moving Toward Top 10 Banks by Charter Capital in Vietnam

National Citizen Commercial Joint Stock Bank (NCB) has submitted a proposal to seek approval from the General Meeting of Shareholders regarding the “Report on the Results of the 2026 Private Placement of Shares and the Plan for a Private Placement of Shares to Increase Charter Capital in 2027.”

Accordingly, NCB’s Board of Directors is seeking shareholders’ approval to continue issuing shares through a private placement to increase charter capital in 2027. Specifically, NCB plans to issue an additional 3.3 billion shares through a private placement at an offering price of VND 10,000 per share, thereby increasing its charter capital by an additional VND 33 trillion.

The offering will be made to professional securities investors as prescribed by the Law on Securities, who have strong financial capacity and are committed to long-term partnership and share the Bank’s strategic vision. The entire additional capital raised will be used by the Bank to supplement funding for NCB’s business operations during the 2027-2028 period.

NCB’s continuous increases in charter capital demonstrate its determination to strengthen financial capacity and build a sustainable foundation for a new growth phase

If 100% of the shares under this private placement are successfully issued, NCB’s charter capital will increase to nearly VND 62.28 trillion, equivalent to an increase of 112.7% compared with its current charter capital. NCB will also break its own capital-raising record, after having completed at the end of June 2026 the largest capital increase in its operating history since its establishment, raising its charter capital to VND 29.28 trillion. On July 22, the State Bank of Vietnam issued Decision No. 1690/QĐ-NHNN amending NCB’s Establishment and Operation License to reflect the new charter capital.

If the capital increase is successfully completed in 2027, NCB will continue to set a record with five consecutive capital increases within just six years (2021-2027), while officially entering the Top 10 banks with the largest charter capital in Vietnam’s banking market and becoming one of the banks with the fastest charter capital growth in the market.

NCB’s continuous increases in charter capital demonstrate the Bank’s strong transformation in financial capacity, market position, reputation and competitiveness following its comprehensive restructuring journey. With its substantially strengthened capital base, NCB will undoubtedly have greater resources to expand operations, accelerate business growth and realize its ambition to elevate its position in Vietnam’s banking and financial market, while accompanying the development of the business community and the economy in the country’s new growth cycle.

NCB is accelerating its restructuring process and entering a new growth trajectory

NCB’s charter capital increase plan is being implemented as the Bank has just successfully completed five years of comprehensive restructuring and is entering the initial stage of a new development phase, with highly impressive business results.

In the first six months of 2026 alone, NCB’s total assets exceeded its full-year target, reaching nearly VND 199 trillion, up 21.5% from the end of 2025. Profit after tax reached more than VND 726.7 billion, up 57% year-on-year. Total customer loans reached more than VND 133.527 trillion, an increase of nearly VND 36 trillion compared with December 31, 2025. The ratio and structure of non-performing loans continued to improve significantly, demonstrating that NCB is effectively controlling the quality of its loan portfolio, improving capital utilization efficiency and properly implementing debt resolution measures in line with the Restructuring Plan roadmap.

NCB’s total customer funding (including customer deposits and issuances of valuable papers) as of June 30, 2026 recorded impressive growth, reaching more than VND 150 trillion, up nearly 14% from the end of 2025. NCB’s demand deposits (Casa) as of June 30, 2026 also reached more than VND 11.889 trillion, up 9% from the end of 2025.

The Bank’s competitiveness and market position have improved significantly. In 2026, NCB participated in financing and arranging capital for a number of major projects, including: the Convention and Exhibition Center, Theater, Park and infrastructure serving APEC; the Ben Nha Rong - Khanh Hoi Cultural Park and public green spaces along the Saigon River; the City Central Square and Administrative Center of Ho Chi Minh City...
